Please read these terms carefully before using the nPe platform, mobile application, or any related services.
By downloading, registering on, or using the nPe mobile application or website ("Platform"), you agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you ("User" or "Merchant") and nPe ("we", "us", "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after any modification constitutes acceptance of the updated Terms.
These Terms apply to all users of the nPe platform — both customers who purchase and use NPE Gift Card credits, and merchants who onboard to accept payments through the platform.
You must be at least 18 years of age and a resident of India to use the nPe platform. By registering, you confirm that the information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. nPe is not liable for losses arising from unauthorised account access due to your failure to safeguard your credentials.
Each individual may maintain only one active user account on the Platform. Creating multiple accounts to exploit offers or rewards is a violation of these Terms and may result in account suspension.
NPE Gift Cards may be purchased directly within the nPe mobile application using UPI, debit card, or credit card. Upon successful payment, the equivalent value as NPE Gift Card balance is credited to the user's account immediately.
NPE Gift Card balance represents prepaid digital value and are not cash, currency, or a bank deposit. NPE Gift Card balance cannot be transferred to a bank account, exchanged for cash, or used outside the nPe partner network. NPE Gift Card balances are non-transferable between accounts.
Credits are valid only for use at nPe partner stores. They cannot be withdrawn, encashed, or used on any third-party platform or payment system.
NPE Gift Card balances do not expire as long as the user's account remains active. nPe reserves the right to introduce an expiry policy with prior notice of at least 30 days via in-app notification and email.
Users may purchase NPE Gift Cards on behalf of others. The recipient must have or create an nPe account to receive and use the Credits. Once NPE Gift Card balance are loaded into an account, they cannot be returned or transferred back.
nPe is an in-store payment platform. All transactions must be completed physically at a partner store. There is no delivery, shipping, or online purchase component. Users visit partner stores, scan the store-specific QR code, and complete payment using available Credits.
Each partner store has a unique QR code. Users must scan the correct QR code for the store they are purchasing from. nPe is not responsible for transactions completed by scanning incorrect QR codes.
Once a payment is confirmed by the user, the transaction is final. Your NPE Gift Card balance is deducted immediately from the user's account and credited to the merchant. Please refer to our Cancellation & Refund Policy for circumstances under which a refund may be considered.
You are responsible for having a compatible Android device and internet connectivity to use the Platform. nPe is not liable for failed transactions due to network outages or device issues on your end.
Users earn loyalty points on eligible transactions at participating partner stores. The rate at which points are earned may vary by merchant and is displayed within the app at the time of purchase.
Partner stores have the ability to view a customer's visit frequency and purchase behaviour within the nPe platform, and to create personalised offers for repeat customers. These offers are designed and issued solely at the merchant's discretion.
Loyalty points and rewards may be redeemed at participating stores as described within the app. Points have no cash value and cannot be transferred, sold, or redeemed for cash.
nPe and individual merchants reserve the right to modify, suspend, or terminate loyalty offers and rewards at any time. Users will be notified of significant changes via the app.
Loyalty points and rewards are a benefit offered by the platform and individual merchants. They do not constitute a financial instrument and carry no guaranteed monetary value.
Merchants agree to list only products and services that are legally available for sale, accurately priced, and genuinely available at the time of listing. Misleading product descriptions or pricing are strictly prohibited.
Merchants must honour all confirmed transactions where the user has paid using nPe Credits. Refusing to fulfil a confirmed transaction without valid reason constitutes a breach of these Terms.
Merchants who create loyalty offers or discounts for customers must honour those offers when a qualifying user presents them through the app. Creating fake or misleading offers is a violation of these Terms.
Customer data made available to merchants through the nPe platform (including visit frequency and purchase behaviour) may only be used for the purpose of creating offers within the nPe platform. Merchants may not export, share, or misuse this data for any other purpose.
Payments collected from users on behalf of merchants are settled to the merchant's registered bank account on a periodic basis — daily or weekly, as agreed at the time of merchant onboarding. Settlement timelines may vary and nPe will provide advance notice of any changes.
nPe may charge merchants a platform fee or commission on settled transactions. The applicable fee structure is communicated at the time of merchant onboarding and may be updated with prior written notice.
In the event of a failed settlement due to incorrect bank details provided by the merchant, nPe is not liable. Merchants must maintain accurate and updated bank information on the platform.
The following activities are strictly prohibited on the nPe platform:
Violation of any prohibited activity may result in immediate account suspension, forfeiture of NPE Gift Card balance, and legal action where applicable.
All content on the nPe platform, including the app design, logo, brand name, graphics, and software, are the intellectual property of nPe and are protected under applicable Indian intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any nPe content without express written permission.
To the maximum extent permitted by law, nPe shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, including but not limited to loss of Credits, failed transactions, or loss of loyalty rewards due to technical issues.
Our total liability to any user for any claim arising from the use of the Platform shall not exceed the total NPE Gift Card balance held in that user's account at the time of the claim.
nPe is a payment and loyalty platform — it is not a financial institution, bank, or wallet regulated under the Payment and Settlement Systems Act. NPE Gift Card balance represents prepaid digital value, not deposits.
You may close your account at any time by contacting us at [email protected]. Any unused NPE Gift Card balance in your account at the time of closure are subject to the refund policy stated in our Cancellation & Refund Policy.
We reserve the right to suspend or permanently terminate your account if you violate these Terms, engage in fraudulent activity, or if required to do so by law. In cases of fraudulent activity, unused NPE Gift Card balance may be forfeited without refund.
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through mutual discussion. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts at Tamil Nadu, India.
